ALEXANDRE AKOUM - MANAGING PARTNER

Alexandre has extensive experience in the legal industry with a focus on complex corporate/M&A, commercial and real estate transactions. He gained versatile technical skills in prestigious international law firms and leading industrial companies in Europe, and has been regularly involved in strategic deals in the Africa/MENA market since late 2017.

He primarily advises and acts for national and international high-profile clients, such as industrial operators, private equity funds, sovereign investment funds, financial institutions and public entities, in major domestic and cross-border M&A transactions across various sectors, including life sciences and healthcare, retail and distribution, banking, insurance, education and agribusiness.

He also has significant experience in structuring large-scale industrial partnerships, especially in the automotive and food manufacturing industries, and has a solid expertise in handling real estate projects, ranging from hotel, residential and mall developments, to acquisitions, disposals and leasing arrangements.

Previously, he served as a Senior Associate at Allen & Overy LLP (now A&O Shearman LLP), one of the world’s leading elite law firms, where he spent 7 years before establishing his own practice.

Alexandre is fluent in English, French, Arabic and Italian.

SOME REPRESENTATIVE MATTERS

  • Advising Al Mada, the Royal Moroccan holding company and one of the largest pan-African private equity funds, and Teralys, its agri-food subsidiary, in connection with its €450 million acquisition of the Italian agri-food group Nutkao.

  • Advising Holmarcom SA, a leading Moroccan private group, on the investment by International Finance Corporation (IFC), member of the World Bank Group, in Holmarcom Insurance Activities, the vehicle holding the Holmarcom's insurance and reinsurance businesses including AtlantaSanad, a company listed on the Casablanca Stock Exchange.

  • Advising Development Partners International LLP (DPI), a London-based leading pan African private equity firm, on the acquisition of a controlling stake in Compagnie Marocaine de Goutte à Goutte et de Pompage (CMGP) for EUR 100 million.

  • Advising Helios Investment Partners, largest London-based Africa-focused private investment firm, in relation to its acquisition of a 35% stake in BIM Morocco, largest discount grocery retailer in Morocco, from its parent company BİM Birleşik Mağazalar, a leading discount grocery retailer in Turkey listed on the (Borsa) İstanbul stock market, for a consideration of EUR 85 million.

  • Advising Kelix Bio, a Dubai-based leading Africa-oriented specialty generic business, on its acquisition of 100% of Pharmaceutical Institute SA, a leading African pharmaceutical group headquartered in Morocco, from its founding shareholders for a consideration of approx. USD 120 million.

  • Advising Diaverum, a world leading Swedish-born multinational healthcare corporation, in relation to three (3) different acquisitions through its French subisidiary, Diaverum Holding France, of several Moroccan entities operating hemodialysis centers/clinics in Morocco: “Centre d’Hémodialyse d’Agadir”, “Centre de Néphrologie et d’Hémodialyse de Meknès (CNHM)”, “Centre d’Hémodialyse El Basma” and “Centre de Néphrologie et d’Hémodialyse Atlas”.

  • Advising AfricInvest, a leading Africa-oriented private equity firm, and the founding shareholders, in relation to the EUR 33 million investment (through cash-in and cash-out) of Vantage Capital, a South-African investment fund, in Promamec SA, a major group in the field of production and distribution of medical devices.

  • Advising Mubadala, a major Emirati state-owned sovereign fund, and Aabar Investments PJS, in relation to the sale of their majority stake within a Moroccan entity owning three (3) major luxury hotels in Morocco.

  • Advising Bank of Africa (BoA), a leading pan-African financial group, on its acquisition of 43.65% of the share capital of BTI Bank (now Bank Al Karam), a major bank incorporated in Morocco, from Al Baraka Group, a Bahraini investment firm.

  • Advising Somed, a Moroccan-Emirati holding company, and its subsidiary Education Development Company, on the acquisition of 100% of Elbilia Group, a leading Moroccan private education group for a consideration of approx. EUR 80 million.

  • Advising Mitsui & Co Europe PLC, a leading Japanese business conglomerate, on its subscription to 11.79% of the share capital of Zalar Holding, a leading pan-African grain trading and poultry group headquartered in Morocco, for a subscription price of USD 26 million.

  • Advising Mitsui & Co Europe PLC, on its acquisition of an additional stake of 21.5% in Zalar Holding (through cash-in and cash-out), for a consideration of approx. USD 41 million.

  • Advising Sanlam Limited, a leading South African financial services group, on the sale by its subsidiaries, Sanlam Pan Africa Maroc SA (Morocco) and LIA Insurance SAL (Lebanon), of their 60% stake in Elite Insurance Brokerage Co, a leading Saudi insurance company, to the founding shareholder.

  • Advising Eurazeo, a leading French global private equity firm, on its acquisition of 100% of Eclipse SAS and Pro Hotel Software corporation.

  • Advising KMR Holding Pédagogique on the acquisition of 80% of the share capital of Sup de Co Business School of Marrakech (école supérieure de commerce).

  • Advising Fipar-Holding, a private equity investment firm and subsidiary of Caisse de Dépôt et de Gestion (Deposit and Management Fund), a Moroccan public institution, on its subscription of 22.6% of the share capital of Les Domaines Zniber, a leading Moroccan company specialising in agriculture with a focus on arboriculture, for a subscription price of USD 40 million.

  • Advising the Moroccan Royal Football Federation (FRMF) and the Moroccan State in relation with its bid for the hosting of the FIFA World Cup 2030™.

  • Advising the Moroccan State as part of the negotiations to set up production factories in the automotive sector for Hands Corporation Ltd, a publicly listed South Korean multinational company, and BYD Auto Co. Ltd and Citic Dicastal, publicly listed Chinese multinational manufacturing companies.

  • Advising the Moroccan State on the setting up of Peugeot’s new car and engine factory in Morocco aimed at the African and Middle East market.

  • Advising Barry Callebaut, world's leading manufacturer of chocolate and cocoa products, in relation to its partnership with Attelli and the establishment of its first production factory in Morocco and Africa.

  • Advising OCP Group, a Moroccan leading industrial player, and Hassan II Fund, on the setting up of a joint venture and the acquisition by this joint venture of a portfolio of prestigious hotels in Morocco (La Mamounia, Palais Jamaï, Michlifen, Marchica) from ONCF, the Moroccan national railway operator.

  • Advising Mubadala, a major Emirati state-owned sovereign fund, and its subsidiary Aabar Investments PJS, in relation to the sale of 33 real estate units and the assignment of rights over 36 real estate units in Morocco to Capital Gestion Group and Advisory and Finance Group for approx. EUR 33 million.

  • Advising Kingdom Holding Company (KHC), a Saudi public listed company, on the sale of the Four Seasons Hotel in Marrakech to Westmont Hospitality Group.

  • Advising Bank of Africa (BoA), shareholders of O Tower, on the development of a USD 375 million tower in Rabat (highest mixed-use skyscraper in Africa (250m)).

  • Advising Agence d’Urbanisation et de Développement d’Anfa (AUDA), a public entity subsidiary of Caisse de Dépôt et de Gestion (Deposit and Management Fund), in the development of the new “Casa Anfa” dynamic business area of more than 350 hectares to host Casablanca Finance City and different business, residential and health facilities.

  • Advising Al Mada, one the largest pan-African private investment funds, on its investment for restructuring a leading shopping mall in Casablanca.

  • Advising Grit, a leading London-Listed pan-African investment firm, in relation with the restructuring of Anfaplace shopping mall in Casablanca.

  • Advising Immohold Group on the acquisition of offices buildings in Anfaplace Business Center of Casablanca and on the transfer of leases in various office buildings in Rabat and Casablanca.
